These Terms and Conditions ("Terms") govern your access to and use of the website https://ticorico.io/ (the "Site") and any other related products or services (the "Services") provided by TicoRico Project Nature S.R.L ("TicoRico", "We", "Our", "Us"), a company incorporated under the laws of the country of Costa Rica. By accessing or using the Site or Services, you ("User", "You", "Your") agree to comply with these Terms and all applicable laws and regulations. If you disagree with any part of these Terms, you may not use the Site or Services.

INTRODUCTION

These Terms constitute a legally binding agreement between TicoRico and you. Your use of the Site and Services is subject to the following terms and conditions. Certain portions of our Services or certain features may be subject to additional terms and conditions that are made available to you when you access those portions or features.

DEFINITIONS

3.1 "User" refers to any natural or legal person who accesses and uses the Site and Services.

3.2 "Third Party Partners" means the service providers, product developers and third parties associated with the TicoRico Site and Services. Each Third Party Partner is subject to its own terms and policies. TicoRico does not exercise any control or management over these Third Party Partner sites, products and/or services. Users should exercise care and read and understand all legal documents governing these products and services.

3.3 "Third Party Services" refers to services provided by third parties that can be accessed via links or integrations within the Site.

ACCEPTANCE OF THESE CONDITIONS

4.1 By accessing or using our Website or Services, you acknowledge that you have read and understood these Terms and agree to be bound by them.

4.2 You are responsible for ensuring that your use of the Site and Services complies with all applicable laws, rules and regulations. If you do not agree to these Terms, you must stop using our Site and Services immediately.

ELIGIBILITY TO PARTICIPATE

5.1 You must be at least 18 years of age (or the age of majority in your jurisdiction) to access and use the Site and Services. By using our Services, you confirm that you meet this requirement.

5.2 Additional eligibility requirements may apply to certain services or features. 5.3 TicoRico reserves the right to deny access to the Services to any person or entity on any blacklist, such as those imposed by OFAC, FATF or other regulatory authorities.

ACCOUNT REGISTRATION AND USER RESPONSIBILITIES

6.1 In order to use certain features of the Site or Services, you may be required to create an account with a Third Party Partner. You agree to provide accurate, current and complete information during the registration process.

6.2 You are responsible for maintaining the confidentiality of your account credentials and all activities that occur through your account with the Third Party Partner. You must notify the Third Party Partner immediately if you suspect unauthorized access to or use of your account.

SERVICES AND FEES

7.1 TicoRico provides access to the Site and Services where Users can interact with Decentralized Applications, use Tokens and perform other transactions in accordance with these Terms.

7.2 All fees for Services (including any transaction fees) will be clearly displayed on the Website before you engage in any chargeable activity. You are responsible for all fees associated with your use of the Services, including transaction fees, blockchain fees and any applicable taxes.

7.3 We reserve the right to change our fees at any time. All fee changes will take effect immediately upon publication on the Website and will apply to all new transactions made after such publication.

RISKS

8.1 By accessing the Site and the Services, Users acknowledge and accept the risks associated with the use of the Site and the Services. We endeavor to provide state-of-the-art systems and implement robust security measures. Nevertheless, certain problems and risks are unavoidable. If such problems or issues arise in connection with your use of our Site or the Services, resolution times may vary and certain issues may remain unresolved. By agreeing to these Terms, you acknowledge that TicoRico is not responsible for the above risks.

8.2 Users are solely responsible for evaluating the Services prior to use and all transactions conducted through the Services are irreversible, final and non-refundable. The Services may be disabled, disrupted or impaired by, among other things, sophisticated cyber-attacks, increased activity, computer viruses and/or other operational or technical challenges. TicoRico expressly disclaims any ongoing obligation to inform users of all potential risks associated with using and accessing our Services. By using the Site and Services, Users acknowledge and accept these risks and agree not to hold TicoRico liable for any resulting losses.

INTELLECTUAL PROPERTY

9.1 All intellectual property rights, including but not limited to copyrights, trademarks, design rights, patents and trade secrets, in the Site and the Services are owned by TicoRico or our licensors. You are granted a limited, non-exclusive, non-transferable and revocable license to use the Site and the Services solely for your personal, non-commercial use.

9.2 TicoRico's trademarks, logos and brand elements (the "Trademarks") are the exclusive property of TicoRico. You may not use any Marks without the prior written permission of TicoRico.

9.3 You may not reproduce, distribute, modify, create derivative works from or use for commercial purposes any part of the Site without our express written consent.

PROHIBITED ACTIVITIES

As a condition of using the Site and the Services, Users agree to refrain from the following:

• Use the Site or the Services for any unlawful purpose or in violation of any applicable laws.
• Abuse or attack our site by deliberately introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful (such as, but not limited to, denial-of-service attacks).
• Do not post false, inaccurate, misleading, defamatory, unlawful, harassing, libelous, invasive of privacy, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable content on our Site or through our Services and on any other type of social media platform or private website.

WARRANTY EXCLUSION

13.1 The Site and Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or those arising by law or under a course of dealing.

13.2 TicoRico makes no warranty that (i) the Site will operate uninterrupted, secure or available at any particular time or location, or will be error-free or free of harmful components; (ii) any errors or defects will be corrected; (iii) the Site is free of viruses or other harmful components; (iv) any Content and data will be secure or will not otherwise be lost or damaged; (v) the results that may be obtained from the use of the Services will be accurate or reliable; or (vi) the results of using the Site will meet your requirements or expectations. You assume all risks associated with the use of the Site or the Services, including, but not limited to, the risk of loss or compromise of data due to security breaches or software errors.

ACCURACY OF THE INFORMATION

14.1 TicoRico endeavors to ensure that the Site is accurate, up-to-date and error-free, but cannot be held responsible for errors resulting from causes beyond its control. LIMITATION OF LIABILITY

15.1 To the maximum extent permitted by law, TicoRico and its affiliates, officers, directors, employees and agents shall not be liable for any indirect, incidental, consequential or special damages, including lost profits, revenue or data, arising out of the use of or inability to use the Site or the Services, even if TicoRico has been advised of the possibility of such damages.

15.2 In no event shall TicoRico's total liability exceed the greater of the amounts paid by you for Services in the previous 12 (twelve) months, regardless of the form of action, whether in contract, tort (including negligence), strict products liability or any other cause of action at law or in equity.

DAMAGE REPLACEMENT

16.1. Users (hereinafter referred to as "Indemnifying Parties") agree to indemnify and hold TicoRico, its officers, directors, employees and affiliates (hereinafter referred to as "Indemnified Parties") harmless from and against any and all claims, demands, actions, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to (i) their use of the Site or the Services, (ii) violation of any applicable law, regulation or governmental request, or (iii) violation of these Terms or infringement of any rights of another.

16.2 The indemnification obligations of the indemnifying parties depend on the indemnified parties:

• 2.1 To promptly notify the Indemnifying Party of any claim or potential claim subject to indemnification;
• 2.2. cooperate fully with the indemnifying party in the defense or settlement of any such claim; and
• 2.3 To allow the Indemnifying Party to control the defense and settlement negotiations, provided that the Indemnifying Party acts reasonably and in good faith.

16.3 This indemnification clause shall survive the termination or expiration of these Terms. The indemnification obligations contained herein of the indemnifying parties shall not be subject to any limitation of liability or exclusion of consequential damages set forth in these Terms. This clause is an essential provision of these Terms, and both parties acknowledge and agree to its meaning.

TERMINATION

17.1 TicoRico reserves the right, in its sole discretion, to suspend or terminate your access to the Site or the Services at any time and for any reason, including, but not limited to, for breach of these Terms or to ensure compliance with applicable laws or to protect the rights and interests of third parties.

17.2 Users acknowledge and agree that termination of their access to the Site and Services for any reason may result in a loss of assets without any rights and/or compensation to TicoRico, its shareholders, directors, employees, partners or affiliates.

17.3 TicoRico reserves the right to report individuals to the appropriate authorities and to seek remedies under applicable laws if prohibited activities are detected.

17.4 Upon termination, your right to use the Site and the Services will cease immediately.

APPLICABLE LAW AND DISPUTE RESOLUTION

18.1 These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands without regard to conflict of law principles.

18.3 All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands.

HIGHER VIOLENCE

TicoRico shall not be liable for any failure to comply with these Terms due to circumstances beyond our reasonable control, including, but not limited to, governmental action, acts of terrorism, war, fire, telecommunications or Internet service disruption, problems with network providers, software failures, network-wide vulnerabilities, hacker attacks, strikes, labor disputes, accidents, civil or military disturbances or other disasters. In no event of force majeure shall TicoRico be liable for any inaccuracies, errors, delays, omissions, service disruptions or interruptions to the Services, whether in the transmission or provision of information under these Terms.

SEVERABILITY CLAUSE

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

ENTIRE AGREEMENT

These Terms, together with all TicoRico policies and any Additional Terms, constitute the entire agreement between you and TicoRico regarding the use of the Site and Services. All prior agreements or understandings, whether oral or written, are superseded by these Terms.

CHANGES TO THE CONDITIONS

TicoRico is constantly developing and improving the Site and Services and reserves the right to unilaterally change or update these Terms at any time. We will post any updates on the Site and the changes will be effective upon posting. It is your responsibility to check these Terms periodically for updates. Your continued use of the Site or Services after any changes are made means that you accept the updated Terms.
